Essay on Canadian Morality and the Law Example For Students
Essay on Canadian Morality and the Law In legal theory, there is a great debate over whether or not law should be used to enforce morality.à The sides of the debate can be presented as a continuum.à At one end, there is the libertarian view, which holds that morality is an individual belief and that the state should not interfere in the affairs of the individual.à According to this view, a democracy cannot limit or enforce morality.à à At the other end, there is the communitarian position, which justifies the community as a whole deciding what moral values are, and hence justifies using the law to enforce community values.à For libertarians, judges should play a prominent role in limiting the state, while for communitarians, judges should have as small a role as possible.à In between these two extremes sit the liberal egalitarians, who attempt to reconcile democratic decision-making about moral values with liberalism.à The problem is made more complex when one considers that both law and morality ar e contested concepts.à Two recent cases where this continuum can be illustrated are Canada vs. Mossap, and Egan vs. Canada.à In this essay, I will attempt to explore some of the issues produced in these two cases.à I will begin with a summary each case, followed by an analysis of the major themes involved.à I will then place the issues in a larger, democratic framework, and explore the role of law in enforcing morality in a democracy.à I will then prove how the communitarian position as articulated by Patrick Devlin supports the decisions given in Mossap and Egan, and how even the great proponents of libertarianism Mill and von Hayek would agree that the decisions were just.à A conclusion will then follow. The case of Canada (Attorney General) vs. Mossap arose when a gay federal government employee applied for bereavement leave when his lovers father died.à The collective agreement between the government and Mossaps union afford bereavement leave only in the case of the death of Mossaps immediate family.à Although this definition included a common-law spouse, it precluded members of the opposite sex.à Mossap, who argued that he was being unfairly discriminated against, filed a complaint with the Canadian Human Rights Commission (CHRC).à The CHRC agreed, and ordered that he be given bereavement leave and that the collective agreement be restated to include persons of the same sex.à The government appealed this decision and the case was brought before the Supreme Court.à The Supreme Could held that the family status provision in the Canadian Human Rights Act (CHRA) was meant to uphold an implicit legal interpretation which excluded homosexuals from anti-discriminatory p rotection.à In his decision, Judge Lamer argued that the CHRA had been amended in 1983 to include the family status provision, and if the CHRA had meant it to include homosexuals, they would have made it explicit then.à Instead, according to Lamer, Parliament (through the CHRA) had a clear intent to not extend anyone protection from discrimination based on sexual orientation .à Since the legislature had not willed it, Lamer did not feel it was appropriate to amend it.à But the decision was not unanimous.à Judge LHeureux-Dube, representing the voice of dissent, argued that the majority decision went against the spirit of the law, since (in her opinion) the purpose of the Act was to ensure that people have an equal opportunity to make for themselves the life that they are able and wish to have without being hindered by discrimintatory practices .à Based on this interpretation, she argued that families had changed radically in past decades; that single parents, common -law partners, adoptive parents, and other non-nuclear family units have all since been included in anti-discriminatory legislation.à à As a result, she argued that traditional interpretation of family did not apply in this case, and that the family status provision did include homosexuals, since homosexual partners could exhibit all the features necessary to constitute a family unit. In a similar case, Egan vs. Canada, the Supreme court also upheld the constitutional validity of a law that discriminated against homosexuals.à The appellants, James Egan and John Norris Nesbit, were homosexuals and had lived together for nearly 50 years.à When Nesbit turned 60, he applied for spousal allowance afforded to spouses of old age pensioners, as given in Act 19 of the Old Age Security Act, but was denied.à Nesbit claimed that the Act contravened Section 15 of the charter since it discriminated on the basis of sexual orientation. The case went all the way to the Supreme Court where Egan and Nesbits appeal was dismissed.à The judge, J La Forest, based his decision on reasoning similar to the Mossap verdict.à He argued that when Parliament enacted the Old Age Security Act, it had in mind the common understanding of married couples.à In recognition of changing social realities, the act was later amended so that the term spouse also included couples in a commo n-law marriage.à Based on the amendment, La Forest argued that the government did not mean for the Old Age Security Act to apply to homosexual partners, otherwise they would have made an amendment for it.à He admitted that the Old Age Security Act is discriminatory, but considered this discrimination acceptable, since none of the couples excluded are capable of meeting the fundamental social objectives intended by the act.à In this way, La Forest felt he was upholding both the letter and the democratic spirit behind the law. An analysis of the verdicts in Mossap and Egan reveal two common themes.à On a technical level, both cases dealt with the same issue:à How does the law understand family and marital relationships?à In both cases, the appellants argued that defining these terms according to heterosexuality was discriminatory against gays and lesbians.à The overarching issue, however, was much more complex.à It calls into question the role of law in enforcing morality.à In both cases, the majority decisions seem to argue along communitarian lines:à That the law should be made by the legislature (which represents the people), and that once it is made, the judiciary has no right to interfere.à In rejecting the view that law should be used to enforce morality, the judges in Mossap and Egan are also making a statement about the nature of democracy itself.à Our answer to the main question Should law be used to enforce morality is of particular significance in a democracy.à De mocracies are meant to produce governments that embody the will of the people.à In authoritarian regimes, for example, it is usually taken for granted that the ruler imposes morality from above.à In such systems, the Sovereign is the law.1à But the difficulty in answering What is the legitimate role of law in enforcing morality in a democracy is two fold:à We must first identify which conception of the law the judges in Mossap and Egan uphold; and second, we must identify the proper relationship between law and morality in a democratic context. Australian Family Law EssayMy position would be strongly opposed by the Libertarian camp.à In the 19th century, J.S. Mill wrote On Liberty, in which he articulated the Libertarian position.à For Mill, the aim of democracy is to uphold the autonomy of the individual.à He maintains that a government must always guarantee the civil liberty of its citizens and their protection against interference by any abusive authority.à F.A von Hayek argues along similar lines.à He articulates the Rule of Law, which demands that the state should enact laws that are fixed and apply to general situations.à This enables individuals to predict state behaviour, and maximizes their freedom (especially from state coercion).à It also limits the scope of state intervention in the affairs of the individual, and excludes legislation that can be aimed at a particular group of people.à Based on these premises, Libertarians would reject the Communitarian position for two reasons.à Firs t, the democratic principles behind Communitarians constitute a tyranny of the majority, since individual liberties would be subject to the values of the majority.à Mill, in particular, makes the explicit point of saying that freedom from social pressures is as important as freedom from the state.à In the Communitarian position, however, the state and social values are combined.à Second, Libertarians would argue that when law is used to enforce morality, it allows for the coercive power of the state to be used arbitrarily.à Again, this is problematic because a democracy could never fully guarantee individual liberties for its citizens. Based on these arguments, it is easy to think that Libertarians would disagree with my assessment of Mossap and Egan, but I disagree.à We have to remember that the Libertarian position does not give a person the right to do whatever he or she wants.à Their actions have to accord with certain guidelines.à Even the greatest proponents of moral relativism have set limits upon individual freedoms.à J.S. Mill, for example, writes the only purpose for which power can be rightfully exercised over any member of a civilized community, against his will, is to prevent harm to others.à So even Libertarians acknowledge that self-protection is a sufficient reason for the state to limit individual liberty.à For example, if a person plans to commit murder, Libertarians would justify the use of force to subdue him.à This is because he poses a threat to other a common ideal, i.e. the right to life.à The question we have to ask is:à What constitutes harm to others?à If we, as a society, did not value life, then we wouldnt mind when the occasional murder was committed.à But the fact that we do shows that murder goes against our public morality.à The communitarian position makes its appeal based on the same grounds.à In other words, if we can prove that homosexuality afflicts harm upon others, then we are justified in using the law to prohibit it.à It can be argued that where homosexuality is a threat to a common ideal, the law should be used to prohibit it.à We know that homosexuality does not pose a physical threat to us; rather, it threatens our community of ideas.à Our common morality is what keeps us together, as a society.à Without it, we, as a society, would cease to exist.à So when acts contrary to public morality spread, like homosexuality or incest, they threaten our societys very existence.à In these cases, the state is justified in enforcing morality on the basis of self-protection.à This does not mean that the law should be used to enforce all morality, or that homosexually should be legally banned in every country.à It just means that when a society shares a particular set of morals (which they consider essential to their survival), the state is completely justified in using law to enforce them.à Even if we accept an extreme moral relativist position such as the one presented by LHereux Dube in Mossap then we must also accept that the morality is nothing more than the general mood of a people at a particular time.à But if this is true, then there is no better law-making institution than the legislature, since it is they, not the judiciary, that embody the mood of the people.à And since the judges in Mossap and Egan based their rulings on what the legislature had intended by Acts, their decisions were based on public morality.à Based on this, I argue that the rulings in Mossap and Egan were completely in accordance with the principles of democracy. Let us summarize.à I have shown that Mossap and Egan dealt with more than just legal interpretation.à They question for the judges wasnt Should we reinterpret this law but .à Both judges concluded that if the people, as a collective, had condoned homosexuality, then Parliament should have enacted (or in this case, amended) the proper legislation.à But the fact that Parliament did not shows that public morality is still homophobic.à Both judges accepted their role as facilitators of the public will.à They would have been justified in interpreting the law in a way that the people, represented by the legislature, did not approve of.à The verdicts in Mossap and Egan served the will of the people.à If thats not democracy, I dont know what is. Three quarters of its operations in the international market are under different banner other than Walmart. The firm has managed to develop a strong human resource base of 2.2 million worldwide. In 2012, the firmââ¬â¢s sales amounted to $444 (Walmart para. 1). In an effort to attain its profit maximization objective, Walmart deals with a wide range of consumer products such as general merchandise. The firm also deals with provision of a wide range of services. In the international market, Walmart offers a wide range of generic products and household products. The firm has achieved this through incorporation of the concept of product diversification. The wide range of products and services that the firm deals with have significantly contributed towards its financial success. The objective of this paper is to conduct a comprehensive analysis on Walmartââ¬â¢s operations in the international market. This is attained by identifying what motivated the firm to enter into the international market, the challenges faced and the degree of success it has attained. The paper also illustrates a number of recommendations on what the firm could have done differently in order to improve its performance. International market entry Entering the international market is one of the ways thr ough which firms can achieve their profit maximization objective. However, firms face major challenges in their internationalization strategy. One of the major sources of these challenges is associated the business risk in the host country. Consequently, it is paramount for a firm to conduct a comprehensive country analysis in order to determine the degree of market risk. Additionally, the research will play an important role in determining the probability of succeeding. Decision to enter the various international markets was motivated by a number of factors. The first reason that motivated the firmââ¬â¢s management team to consider entering the market is the intense competition in the domestic market. Over the years, the US retail sector has continued to experience an increment in the intensity of competition. This has led to a decline in the sectorsââ¬â¢ profitability potential. In an effort to attain its profit maximization objective, Walmartââ¬â¢s management team made a decision to venture into the international market. Walmartââ¬â¢s management team perceived that venturing into the international market would provide an opportunity for the firm to expand its operations (Walmart para. 2).Advertising Looking for research paper on business economics? The objective of adopting this strategy is to enable the firm attain a high economies of scale. Considering the size of Walmartââ¬â¢s operation, the firm has been able to attain higher economies of scale (Rocha Luis 68). Walmart has entered different international markets such as Canada, Brazil and Japan. It is paramount for a firm to determine the most appropriate mode of entry in order to succeed. There are different modes of entry that Walmart has adopted in its internalizatio n effort. Some of these modes of entry include acquisition, mergers, partnership/joint ventures or starting green-field operations through foreign direct investment. In 1994, Walmartââ¬â¢s management team identified Canada as a market with a high market potential. After conducting a comprehensive market analysis, the firmââ¬â¢s management team decided to adopt acquisition mode of market entry. The acquisition strategy targeted Woolco Discount Stores which are owned by Woolworth Corporation. In its operation, Woolworth Corporation had managed to establish an effective network of Woolco stores in Canada. By 1994, the firm had a network of 142 discount stores. Walmart acquired 120 of Woolco stores. Over the past 18 years, Walmart has been very efficient in its Canadian market. Its success has arisen from establishment of new stores and remodeling the existing stores. Walmart ventured into the Brazilian retail sector in 1995. The firm adopted joint-venture mode of market entry whe n venturing into the Brazilian market (Rocha Luis 61). The firmââ¬â¢s management team identified Lojas Americanas as the potential joint-venture partners. Decision to select Lojas Americanas as its joint-venture partner arose from identification of the firmââ¬â¢s strength with regard to distribution and marketing. In its operation, Lojas Americanas has managed to establish itself as the largest discount store in Brazil. The firm is owned by Garantia Group (Rocha Luis 61). As a result of its strength with regard to retailing, Walmart has managed to be the dominant of the joint venture. It controls 60% of the total joint venture. As a result of the competitive nature of the Brazilian retail industry, the firm is increasingly adopting acquisition mode of market entry. From 1995, the firm has undertaken two major acquisitions. The acquisitions entailed that of Bomprecoââ¬â¢s and Sonaes. In 2004 Walmart purchased 116 stores that were owned by Bompreco. In 2005, the firm acquir ed Sonaeââ¬â¢s Distribution Group.Advertising We will write a custom research paper sample on Walmart Company Analysis specifically for you for only $16.05 $11/page Learn More Through these acquisitions, the firm has managed to improve its competitive advantage hence attaining a higher competitiveness. As a result of its aggressive expansion strategy, the firm has managed to grow from being a 2-brand firm to a 9-brand firm. Additionally, the firm has established multiple formats. As a result of the competitive nature of the Brazilian market, the firm has incorporated organic growth as one of its market leadership strategy. This has been has been attained by building new retail outlets from scratch in all the 18 federal districts in Brazil (Walmart para. 1). In line with its commitment to attaining its profit maximization objective, Walmartââ¬â¢s management team made a decision to enter the Asian market, the firm identified Japan as one of the Asia n markets with the highest market potential. After a thorough market research, the firm entered the Japanese market in 2002. In its market entry, the firm adopted the concept of partnership. On 15th March 2002, the firm entered into a partnership agreement with Seiyu Limited. Walmart purchased 6.1% of Seiyu Limited Share in an effort to gain foothold. Decision to adopt partnership market strategy arose from the fact that the Japanese market has been very challenging. Most foreign firms which have ventured into the industry have failed. By partnering with Seiyu Limited, the firm was able to avoid possible challenges that would have caused it to fail. Partnering with Seiyu significantly increased Walmartââ¬â¢s change of success. Business strategy and market strategy Formulation and implementation of an effective business strategy is vital in the success of every organization. The business strategy adopted determines the success of the firm in its performance relative to other firms . To effectively position itself in the Canadian market, Walmart adopted the low-cost strategy. This strategy entails offering goods and services to customers at the lowest cost possible relative to its competitors. The low cost may emanate from a number of factors such as improved operational efficiency.Advertising Looking for research paper on business economics? Let's see if we can help you! Get your first paper with 15% OFF Learn More Adoption of a low-cost strategy is a challenge to most firms. This arises from the fact that the firm should have a strong capital base in addition to providing a wide range of products so as to meet the customerââ¬â¢s needs. The firm has implemented the low cost strategy by offering its products and services at a low cost relative to other firms in the supply chain. In its Canadian market, Walmart intends to be the price leader in the retail sector. To increase its customer base, Walmart has adopted low cost strategy as its business strategy. Decision to adopt this strategy in Brazil was motivated by the need to attain a high level of international sales growth. The firm has implemented the low cost strategy by offering its products and services at a relatively low price level compared to its competitors. By adopting this strategy, it is the firmââ¬â¢s objective that it will sufficiently differentiate itself from its competitors. Walmart has continuously adopted the low cost strategy as its business and marketing strategy. When entering the Japanese market, the firm adopted the same strategy. Over the years, the firm has continuously offered its products at a relatively low price point compared to its competitors. Some of the firmââ¬â¢s main competitors in Japan include 7-Eleven Japan Company Limited and Ito-Yokado Company Limited. As a result of the intense competition in the Canadian retail industry, Walmart has incorporated the market leadership as its market strategy. Decision to adopt this strategy has emanated from the need to derive a high competitive advantage relative to its competitors by being a one-stop shopping destination. To achieve this, Walmart has focused on two main aspects which include physical expansion and gaining sufficient market share. In 2012, Walmart has allocated $ 753 for its expansion purposes. The budgetary allocation has been effected prior to entry of Target Corporation, a US based company into Canada. In its expansi on to the Canadian market, Target Corporation intends to establish approximately 135 stores. However, the rapid expansion being undertaken by Walmart will contribute towards the firm countering the competition that will emanate from Targetââ¬â¢s entry. The resultant effect is that Walmart will improve its competitive edge. In addition to establishing new stores in various locations in Canada, the firm will also undertake remodeling of its existing stores. Through this investment, Wamart will have increased its retail stores to more than 375 retail outlets by January 2013 (McKinnon para. 1). Currently, Walmart is ranked as the fastest growing firm in the retail sector with regard to general-merchandize and grocery sector (Walmart, 2012). Similarly, Walmart has adopted market leadership strategy. The firm has attained this by adopting different formats such as establishment of supercenters and Samââ¬â¢s Club sores. Upon its entry, Walmart had only established 5 retail outlets, 2 Supercenters and 3 Samââ¬â¢s Clubs. However, the firm has over the years embarked on a rapid expansion campaign. Currently, the firm operates more than 512 units. To meet its customerââ¬â¢s demand, the firm has adopted the concept of product mix. It is estimated that the firm supplies more than offers more than 50,000 consumer products such as food products, apparels and sporting products. This has made the firm to be a unique retailer in the Brazilian market because there is no other retailer who offers such a wide range of products in the country. Reasons for market entry There are different reasons that motivated Walmart to venture into the international market. One of the factors that the firmââ¬â¢s management team considered in venturing in the Brazilian and Canadian market is that the market was not saturated. Consequently, the firm would have been in position to increase its market share hence attaining its high sales objective (Rocha Luis 61). Decision to venture into the Japanese and the Canadian markets arose from the fact that the country has a substantial population (McKinnon para. 1). Consequently, the size of the market was relatively high. Additionally, the firmââ¬â¢s entry into Brazil and Japan was also necessitated by the high rate of economic growth being experienced in Japan and Brazil. Currently, Brazil is one of the countries has is considered to be an emerging economy in within the Latin America (Rocha Luis 61). Over the years, the three economies have continued to experience substantial economic growth. As a result, the consumers have experienced an increment in their purchasing power. Walmart identified the increment in consumer purchasing power in these economies as an opportunity to increase its sales revenue. Challenges experienced in the international market Operating in the international market presents numerous challenges that organizations have to deal with. In its Japanese market, Walmart has continued to face num erous cultural challenges. The culture of a country has a significant impact on the consumerââ¬â¢s purchasing patterns. Consequently, it is vital for firms intending to venture into the international market to conduct a comprehensive cultural analysis. This will aid in determining the degree of fit. Conducting cultural analysis is also vital because it enables a firmââ¬â¢s management team to adjust its business and market strategies (). In its Brazilian market, Walmart did not have sufficient knowledge regarding the tastes and preferences of the customers. In Brazil, Walmart established a number of Samââ¬â¢s Clubs. However, Brazilian consumers have not adopted the culture of paying for membership fees. Additionally, they have not adopted the culture of purchasing in large volumes. In order to fit in this culture, Walmart was faced with a major challenge of ensuring that it fit in the Brazilian culture (Rocha Luis 68). The firmââ¬â¢s management team expected that the Jap anese would adapt Walmartââ¬â¢s culture. This is a major challenge because firms are required to adapt into the foreign culture in their internationalization strategy. The Japanese have a unique culture. Consequently, it was paramount for Walmart to customize its stores in accordance with the Japanese culture. The Japanese are not used to purchasing their supplies from large stores. Additionally, purchasing fresh produce rather than packaged products is a culture that is strongly entrenched within the Japanese culture. However, Walmart has not adequately specialized in the provision of fresh product. In an effort to attract a large number of customers, Walmart has continuously adopted low cost strategy as its business strategy. However, Japanese interpret high price to mean high quality. Therefore, most Japanese perceive high price to translate to value for their money. This is well illustrated by the fact that the Japanese purchase 40% of the total global luxury products annuall y. These cultural misunderstandings have adversely affected Walmartââ¬â¢s ability to succeed in the Japanese market. Despite its effort to venture the Japanese market through Seiyu Limited, Walmart has not been successful. This is due to the fact that Seiyu has drastically been overtaken by its competitors in the Japanese market such as 7-Eleven Company Limited. Over the years, these firms have continued to adhere to Japanese culture which has significantly contributed towards their success. The firmââ¬â¢s success in the international market is well illustrated by the fact that it has managed to establish numerous retail outlets. Additionally, the firm has continued to sustain a large human resource base of more than 2.2 million employees. This shows that Wal-Mart has adopted effective human resource management strategies. Conclusion and recommendations The analysis has shown that Walmart has been very committed towards attaining success in the international market. This is we ll illustrated by the fact that it has incorporated different modes of international market entry. Decision to adopt different mode of market entry arose from recognition of the fact that markets vary across countries. Additionally, its success in these markets is well illustrated by the fact that it has continued to dominate the retail sector. Despite this, existence of cultural differences is one of the major challenges that Walmart faced in its internationalization efforts. Recommendations To succeed in the international market, it is paramount for the firm to take into account the following. The firm should conduct a comprehensive market research in order to understand the prevailing market conditions. The research should focus on both the consumers and the competitors. Walmart should undertake a comprehensive cultural analysis prior to venturing the international market. Its failure in conducting cultural analysis is illustrated by the challenges it is facing in Japan. This wi ll play an important role with regard to formulation of business and market strategy. For example, identification of cultural differences affecting the consumerââ¬â¢s purchasing patterns should inform the firm on the most appropriate business and market strategy to adopt. The firmââ¬â¢s management team should continuously review its business and market strategies in order to determine their success. Such reviews will play an important role in the firmââ¬â¢s success because it will be able to adjust appropriately. The firm should not adopt its low cost strategy in all the market it enters. However, it is vital for the firm to incorporate other strategies such as differentiation. Reference List McKinnon, Judy. Walmart to invest $753 million to expand Canadian operations. 7 Feb. 2012. Limitations / Problems Of Bcg Essays - Strategic Management
Limitations / Problems Of Bcg Limitations / problems of the BCG Matrix 1. The problems of getting data on the market share and market rate 2. There is no clear definition of what constitutes a market 3. A high market share need not necessarily lead to profitability all the time. 4. The model employs only two dimensions market share and growth rate. This may tempt management to emphasis a particular product or divest prematurely. 5. Low share businesses can be profitable too. 6. It considers the product or SBU only in relation to one competitor: the market leader. It misses small competitors with fast growing market shares. Critiques of BCG Matrix 1. In another word: by definition, only a single company can have a share greater than 1.0 in any given market. Thus, in the BCG matrix, there can be but one cash cow or one star per market. 2. The BCG model implies resource allocation rules regarding cash usage. Assumptions of BCG 1. This matrix assumes that a larger market share in a growth market leads to profitability. An effort to obtain a large market share in a slowly growing market requires too much cash. 2. The higher the growth rate, the easier to gain market share Uses / Application of BCG Matrix 1. If a company is able to use the experience curve to its advantage, it should be able to manufacture and sell new products at a price low enough to get early market share leadership. Once it becomes a star, it is destined to be profitable. 2. BCG model is helpful to management in evaluating the firms current balance among stars, cash cow, problem child and dogs. 3. BCG model is applicable to large companies that seek volume and experience effects. 4. The model is simple and easy to understand. 5. It provides a base for management to decide upon and prepare for contingent future courses of action. BCG as a planning tool 1. The BCG growth share matrix is widely used as a strategic planning tool giving planners a sense of direction. 2. The matrix facilitates the strategic planning process and service as a rich source of ideas about possible strategic options. 3. In multi-product organizations, management can use this matrix as a guide to allocate limited resources. BCG MATRIX 22% 10% market growth rate 0% 10x 1.5x 1x 0.1x Relative market share 1. The BCG matrix is plots the businesss relative competitive position as expressed by the market share and the growth rate of its industry on the vertical axis. The company is represented by as a circle on the matrix. The diameter of the circle represents the size of the business (usually in terms of the sales) in relation to the sizes of other businesses in the portfolio. 2. Market growth rate: represent the annual growth rate of the market in which the business operates. 10% is considered high. 3. Relative market share: refers to the SBUs market share relative to that of its largest competitor in the segment. It serves as a measure of the companys strength in the relevant market segment. 0.1x means that the companys sales volume is 10% of the leaders sales volume. 4. Question marks: - - business that operate in high-growth market but have low relative market shares. Most business start off as question marks. A question markets requires a lot of cash to spend on plant, equipment to keep up with the fast-growing market. 5. Stars: if the question marks are successful, it becomes a star. A star is the market leader in a high growth market. A star does not necessarily produce a positive cash flow for the company. The company must spend substantial funds to keep up the high market growth and fight off competitor attacks. 6. Cash cows: When a markets annual growth rate falls to less than 10 percent, the star becomes a cash cow if it still has the largest relative market share. A cash cow produces a lot of cash for the company. The company does not have to finance capacity expansion because the markets growth rate has slowed down. Because the business is the market leader, it enjoys economies of scale and higher profit margins. Cash cows can be used to support other businesses 7. Dogs: Dogs are businesses that have weak market shares in low growth markets. They typically generate low

Jury system of United States Essay Example | Topics and Well Written Essays - 2750 words
Jury system of United States - Essay Example As in the book "On the Grand Jury", the indication taken from "United States v. Calandra in 1974" that Supreme Court says about the jury system that its purpose is not only to investigate possible criminal conduct but also to act as a "protector of citizen against arbitrary and oppressive government action" and to perform this action jury "deliberates in secret and may determine alone the course of its inquiry". Though this is very much true that without thorough investigation the jury server are not intent to ensnare the crime with deserving prosecution or claiming them for their deeds or warranting the prosecutors for being innocent. Jurors are authorize to dismiss any person in the government incase if not serving the country sincerely. It's their duty to listen the person who is accused by the prosecutors and the person selected to be the government employee or brought in the country is secure from any inducement. Jurors are the first protectors of citizens and for the people who are accused by the law unconstitutionally. In an article by James W. Gilchrist, Jr. quoted the idea of juries in Virginia Colony is, "When the case was given to the jury, it was locked up without food or water until it reached a verdict. A juryman could not leave his fellows until a verdict was reached, which, as one writer noted, made prolonged disagreement practically unknown." Ans. Mangna Carta is a si... When the several jurisdictions to pass local Imperial Acts legislation came to consider which statutes to include as part of the received Imperial statute law of the jurisdiction, they all included Magna Carta. As several of these statutes are relatively recent, and all of them the product of 20th century consideration, they represent a judgment by law-makers that the linkage with Magna Carta should be maintained in contemporary law, even if only for sentimental rather than practical reasons. In the cases of Victoria, New South Wales, Queensland, the Australian Capital Territory and New Zealand, many of the problems of identifying the relevant chapters of Magna Carta that apply have been solved by local Imperial Acts legislation. In all cases the legislature has not only indicated which version of Magna Carta applies that enactment is part of the statute law of the jurisdiction. Nevertheless, there are some minor differences between these jurisdictions to be noticed, especially in the case of the Australian Capital Territory, where the relevant text of the 1297 statute includes the preamble. In New Zealand, while schedule1 of the Imperial Laws Application Act 1988 (NZ) only refers to chapter 29 of the statute of 1297, the version reprinted for reference in the Reprinted Statutes of New Zealand includes the preamble to Magna Carta 1297. It follows from such legislation that no other chapters in the version of 1297, and none of the provisions of any of the earlier versions of Magna Carta, are part of the law of the jurisdictions in which Imperial Acts legislation is in force. This has not, however, prevented consideration of the legal origins of ancient offices and show that the

Management theories Essay Example | Topics and Well Written Essays - 1500 words
Management theories - Essay Example While managers administer, depend on control and focus on organizational systems and structure, leaders innovate, inspire trust and focus on individuals in an organization. In addition, managers and leaders differ greatly in that leaders have individuals following them whereas managers have individuals working for them. Moreover, leaders tend to be brilliant and charismatic, like taking risks, visionary and creative among others. They use non-coercive form of influence to make individuals achieve certain goals (Bertocci 2009, p.7). In contrast, managers are rational, problem solvers, and in most cases, they focus on organizational goals, structures, personnel as well as the availability of resources. Mostly, managers make use of formal and rational method when organizing people while leaders use passion and stirs emotions when dealing with their subordinates. Managers have to deal with complex issues in an organization like setting standards for development, developing action plans, and effectively using available resource (Klein 2007, p.2). Moreover, the effectiveness of leaders is determined by the accomplishment of goals while managersââ¬â¢ effec tiveness is determined by results like profit margins (Bertocci 2009, p.9). Nevertheless, leaders and managers approach to tasks differently, that is, leaders look at the problem and come up with creative solutions. Their charisma and dedications helps them to motivate employees to do their best and to effectively solve any problem arising. In contrast, managers establish strategies to form teams and combine ideas to come up with appropriate solution to any problem. They encourage their subordinates to share their views in order to reduce inherent risk and promote success. Accordingly, they both have different approaches to risk in that as leaders are risk takers, managers are risk averse. More so, leaders are the facilitators when decisions are made while managers are involved

Film Assignment Essay Example for Free
Film Assignment Essay For this assignment, I chose the 1996 movie ââ¬Å"A Time to Killâ⬠is applying Carl Rogerââ¬â¢s Model of Argument. The film is based on the novel of the same title by John Grisham that tells the story of finding justice amidst the racial bigotry of the South. It is the story about a black man, Carl Lee Hailey, who killed the men who raped and mauled his 10-year old daughter Tonya and is looking at a death sentence should he be found guilty of murder in court in a town where racial prejudice continues to abound. It is through the efforts of his defense lawyer, Jake Brigance that Carl Lee was acquitted and released (McConnnaghuey and Jackson 1996). At first glance, a debate is very likely to ensue. Some would say Carl Lee is guilty because he broke the law by murdering the suspects. The latter had been arrested and should have been given their day in court and let the law take its course. They believe that revenge was Carl Leeââ¬â¢s motive for taking matters in his own hands and that the death penalty is appropriate because of what he did, consistent to the adage, ââ¬Å"the punishment must fit the crime. â⬠Legally, Carl Lee is indeed guilty and the jury appears to be leaning towards that decision. However, looking at it from the other side, there are others, as personified by Jake, who believe Carl Lee did the right thing though it was very drastic. While it may be true that Carl Lee was legally guilty, this does not immediately mean he is morally wrong. In the latter part of the film, Jake won the case because he was able to find common ground, not only with the jury, but also to the audience. He took their attention away from Carl Lee and his act and instead focused it somewhere else on the actual victim Tonya. Jake did this by taking everyone on a ââ¬Å"journeyâ⬠inside Carl Leeââ¬â¢s mind, putting themselves in his place, retracing his road to perdition on the day his daughter came to him battered and bleeding to the time he killed the suspects. He closed the ââ¬Å"journeyâ⬠by telling the jury to now ââ¬Å"imagine she were white. â⬠This is the common ground Jake successfully established. The ââ¬Å"secretâ⬠behind it was Jake is able to make the jury shed off any racial bias they may have by getting them to empathize with Carl Lee. The result was instead of looking at a black man seeking redress for the attack on his daughter, but just a father who is merely looking out for his daughter. It can be inferred that everyone on the jury would have done the same thing if the victim had been their own child. They also know how biased the justice system is in town and that black people never get a fair trial but in this case, Jake succeeded in making them see it from a different perspective. It is certain that everyone knows justice is not always found in the courtroom, especially in this town and there are times when doing the right thing means breaking the law because the law is not perfect as it is administered by a racially prejudiced society. What was substituted here is a deeper sense of justice that is common to all, rooted in religious beliefs. In other words, people like Carl Lee are guided by their personal morals that are very fundamental where it becomes easy to discern right from wrong. All in all, the film shows a demonstration on how the Rogerian Model is applied as ââ¬Å"common groundâ⬠was established with the audience by the performers in the film through the use of empathy to establish this common ground. Bibliography A Time to Kill. Directed by Joel Schumacher. Performed by Matthew McConnnaghuey and Samuel L. Jackson. 1996.

Types of Exercise in Sports
Types of Exercise in Sports Sport was known as part of exercise where most people used to stay in healthy lifestyle. Exercise is the bodys physical exertion. The main function of exercise is to achieve a higher level of fitness and health, for both physically and mentally. Sport is an competitive, organized, skillful, and entertaining physical activity. To be the winner, the player requiring commitment, strategy, and fair play that can be defined by objective means. Sport was divided into few categories where it divided into different categories age and gender. This arrangement usually helps them in order to give a comfortable exercise to certain people. There will be not a old man are doing heavy exercise like going gym. Of course only to those who young want who they are full energetic. Human being will destroys the good condition for lack of activity, to save it and preserve it do some movement and methodical physical exercise. Sport exercise gives so many health advantages to people who take advantage from i t. Participating one on physical activities can add further years into yourself, and the more you will exercise, the more benefits that you get. You will also get to avoid health diseases and also delay our death when you regularly engage yourself upon physical activities as well as sport exercise. Light sport also known as simple exercise, were usually use by most people when they are having little time to exercise and have a problem of doing heavy exercise. It commonly practices by elder people, pregnant woman, patience and young children. This is the opposite of when a person is having an active lifestyle and exercising.Ã Ã This study focused on the important of doing somethings to breaks throughout the day to stand up and move around. Step out from the environment you are, take quick walk outside, and walk up and down the stairs few times around the building. A light exercise involves small movement, time and energy to perform. Light exercise is a kind of exercise that usually causes less energy and stamina. It is also make the person less sweat and dehydrate too. Although to some people who is in this range feel that it make cause less tiredness, but it work within long term effect rather than do nothing. This exercise actually creates a light movement between the ank le, muscle joined and heartbeat. The moment when they do a walk, it takes a 3 combination and less energy to perform. The longer the person walks, the more tired they will be. This is because the effect of doing light type exercise in a long term. It also giving another long term effect is they will slowly overcome the matter of leg pain for long walk exercise. This exercise usually did not require any special attention and can be perform at any time as they wish. From home to office, from young to old doesnt give any problem. But it recommended for the person who listed earlier to perform for their capability over to stay in health. Here is some few example of light exercise which is categories of light exercise. They are walking, stretching body, Chinese Tai-chi, gardening, cycling, dumb bell and much more. The second type of exercise is so called medium exercise are usually perform for moderate person at different age. It doesnt care any of the gender arrangement or requirement. This medium exercise usually performs in small amount in time and to those loves to save time. This medium exercise requires an amount of concentration, energy or stamina, time and place. It also can be perform by a group of people and solo. It train a lot of body part and cause performer to sweat a lot dehydrate even much more compare to the light exercise. It might be also need some specified skill to perform on the right way because once they perform it on the wrong way, it may cause muscle cramp. For the short term effect, it may reduce smoker to smoke. This is because they might exhaust but only exercise reduces the chances of taking any nicotine and tar in their body. This will make the smoker not to take any cigarette as their throat is drying and if let say they smoke, this person might be in very high chance for getting throat cancer. In the long term effect of this medium exercise, it may bring a healthy lifestyle and physical attitude as well. The long term effect usually takes time to as to the person especially in their daily mood. The person who less exercise, their face is pale or looks tired but if compare with the person who do exercise, they have more energetic and confident looks. This effect also will bring close relationship and build up strong neighborhood if they done it together. But to some people who are disable, they also can perform sport as the part of their exercise. They perform in sport like track sport, field sport like futsal and more according to their convenience. It is proven where the is special sports day were introduce just for them. There are few example of medium type of exercise that practice by most people. They are cycling, walking uphill, jogging, Tae Kwan Do, swimming, running, and much more. This some part is actually providing sufficient li festyle to avoid any of negative impact or disease. Hard or professional type exercise is another kind of exercise where this involves to active people and to people loves diet. This type usually takes a lot of concentrations as to prevent any side causes or muscle injured too. Plus this exercise requires all of energy and full stamina. It also have to be assisted by professional incase of not clear or not sure about it. This exercise performs by athlete and to all active people. It takes all the energy and power to perform while it also takes a full concentration to play the sport. If suddenly the player lost concentration, it may cause a major injury and might be cause paralyze too. The physical activity involves the movement of people, animals and/or a variety of objects such as balls and machines or equipment. This professional exercise, usually require a place that suit to the sport like stadium, or gym center. It also can be perform on the game court too as to a game like basketball or tennis. This game gives everyone a chance t o practice on how to work with team and think a strategy to win the game. Like basketball, from what we see is a 3 versus 3 games. But in the three people they need teamwork so that they can pass the ball and score. Besides that, they also need to think a strategy on breaking through opponent defenses and score without playing fault. In gym, they will train in specified machine to help them in body building. This training in gym is especially in abdomen and shoulder where they are 85% chances in use of the body part. They also have a chance on meeting new people to train human skill and share their experience together. Whenever you indulge yourself into sports, you were even meeting new people. Apart from being an exciting and joyful activity, sports give a lot of various advantages to our character. It can serve as a good source of pleasure. Sport is a fantastic physical activity, and this may also develop a better physical image than these persons who do not do it. Training is als o give a chance to provide them more time to be control the stage of games too. With a fully all strategy, teamwork, training, concentration and full energy, there is no way for other to any change to stop them from growing. Plus physical activities can significantly help from the decline of ones depressive symptoms. Persistent health problems are usually preventable with routine exercise. When you make this a habit to workout daily, you will be able to avoid unsafe health problems from any kind of cause. Exercise forms is resistance for the body, also it functions on strengthening your muscles. Sports, one of the most active activities compare to other where it cause the heartbeat and sweat part of the entire body toxin out. Plus it reduces chances of getting sick or even flu. In every minute the heartbeat, the body pulse is double than usual where it give chance to human to breath twice as fast to capture the oxygen the blood cell. Every human pulse requires a full concentration where it helps to keep on line of the body blood cycle. If let say they over the limit of one minute heartbeat, they might get faint as also heart shock and body cramp. This are often happen to some of the athlete where they push up the maximum limited of their body level. There are also can possibility cause of easily broken bones if they did not train. This effect actually related to calcium consumption and exercise training. In research of health central, there will be long and short term effect. In the short term effect, it increases the flexibility of the bones and strengthens the bones and joint especially when playing an outdoor sport. But in long term of sport, this will reduce the chances of broken bones, delaying muscle loss, and reduce risk of loosen the bones and joint. Therefore, sport does play an important role in humans life as they bring a healthy life to even live longer.

Application of Nanotechnology in Diagnosis and Treatment of Diseases: Cancer
RESEARCH PROPOSAL APPLICATION OF NANOTECHNOLOGY IN DIAGNOSIS AND TREATMENT OF DISEASES ââ¬â CANCER. BY OLOWOKERE JOHN 1. 0 Introduction Nanotechnology is the study, design, creation, synthesis, manipulation, and application of materials, devices, and systems at the nanometer scale (One meter consists of 1 billion nanometers). It is becoming increasingly important in fields like engineering, agriculture, construction, microelectronics and health care to mention a few. The application of nanotechnology in the field of health care has come under great attention in recent times. There are many treatments today that take a lot of time and are also very expensive. Using nanotechnology, quicker and much cheaper treatments can be developed. By performing further research on this technology, cures can be found for diseases that have no cure today. We could make surgical instruments of such precision and deftness that they could operate on the cells and even molecules from which we are made ââ¬â something well beyond today's medical technology. Therefore nanotechnology can help save the lives of many people. Mohd & Jeffery, 2007). The specific purpose of this report is to explain the application of nanotechnology to the diagnosis and treatment of diseases such as cancer in the field of medicine. Applications such as drug delivery system, tissue reconstruction and disease diagnosis and treatment shall be discussed. This report will be of particular interest and help to researchers in the genetic engineering and biotechnology department of the federal university of technology Minna, and other research institutions. 1. 1 Problem StatementThe specific purpose of this report is to delve into the application of nanotechnology to diagnose and treat diseases in the field of medicine using our own indigenous technology. Applications such as drug delivery system, tissue reconstruction and disease diagnosis and treatment shall be discussed as it relates to cancer. 1. 2. Just ification of the Study With the raging scourge of cancer in the world today, nanotechnology provides the field of medicine with promising hope for assistance in its diagnosis and treatment as well as improving the general quality of life.Humans have the potential to live healthier lives in the near future due to the innovations of nanotechnology. Some of these innovations include: Disease diagnosis, prevention and treatment of disease, better drug delivery system with minimal side effects and tissue reconstruction. 1. 3. Objective of the Study This research work is designed to achieve the following objectives: ? Design and production of nano-tech devices and equipment for the diagnosis of diseases such as cancer. ?To develop a model that predicts the method involve in the diagnosis, prevention and treatment of diseases such as cancer. Design of nanoparticles for nano-tech applications such as tissue reconstruction. ?To determine the method that will best optimize the drug delivery s ystem with minimal side effects. 1. 4. Scope and Limitation of the Study The scope of this research work shall be limited to the application of nanotechnology in the diagnosis, prevention and treatment of cancer as highlighted in the problem statement of this research work. 2. 0 LITERATURE REVIEW The word ââ¬Å"nanoâ⬠is derived from the Greek ââ¬Å"nanosâ⬠, directly translating to English as ââ¬Å"dwarfâ⬠.From the very literal meaning of the word, therefore, it is inferred that the science is operated on a miniature scale. When working at a nanoscale, the prefix ââ¬Å"nanoâ⬠is used as an SI unit to denote any value multiplied by 10-9, meaning that a nanosecond is roughly a billionth of a second and a nanometre equates to a billionth of a metre. Ten hydrogen atoms lined up side by side would equate to a length of 1nm; in fact, most atoms are a miniscule 0. 1-0. 2nm wide. Due to the fact that work on a cellular level is done primarily at a nanoscale, it is th erefore unsurprising that nanotechnology has paved the way for a vast quantity of iological development, and a great majority of the findings encountered have led to cutting edge breakthroughs in this area (Harry, 2005). Nanotechnology offers various exciting prospects to every aspect of life. From dietary supplements to clothing, nanotechnology is evolving rapidly all around us. It offers numerous possibilities, especially in the medical sector of nanoscience (nanomedicine). Nanomedicine can be defined as ââ¬Å"the design and manipulation of nanoparticles, particularly as applied to the medical diagnosis and treatment of disease. Examples of recent nanomedical developments include; the use of nanoparticles with antibacterial properties in hospital equipment and the development of magnetic nanoparticles being used to target disease, reducing the necessity of surgery and the associated risks. A further innovation in nanomedicine has been manufacturing drugs as nanoparticles as they are thought to be absorbed more easily into the body because of their size. It could offer easier methods of locating and targeting specific cells on a ââ¬Å¾nano? size level, on an atomic scale, and delivering drugs to these cells. This is good because often very powerful drugs are needed to kill mutated cells such as tumour cells, and these drugs would be hazardous if they came into contact with normal functioning cells (Mohd & Jeffery, 2007). 2. 1 Nanotechnology preventive approach In general, the best way to eliminate a problem is to eliminate the cause. In cancer, the problem can be perceived differently at various stages of the disease. Most apparently, if genetic mutations are the underlying cause, then we must counteract the causes of the mutations.Unfortunately, genetic mutations are caused by artificial or natural carcinogens only some of the time. At other times, they may occur spontaneously during DNA replication and cell division. With present science and technology the re is very little we can do to prevent this from happening. However, in all other cases, eliminating the carcinogens is indeed a highly effective way of cancer prevention. But most patients do not recognise the problem until it has actually occurred, which makes preventive medicine a rarely utilised, although a highly effective form of cancer prevention.Even so, is there a way to eliminate cancer through nanotechnology before it starts? Although there is little current research on preventive treatments using nanotechnology, they are indeed possible. After a careful review of the most advanced disease-time nanoscale treatment methods, one can easily see why the proposed nanotechnology alternatives to current preventive treatments have so strongly attracted the attention of the scientific and medical communities in recent years. In fact, nanotechnology-based treatments are no more challenging to devise than the currently used disease-time treatment methods.Nonetheless, it requires tim e and monetary investments to develop such treatment methods in short time. (Greider and Blackburn, 1996). 2. 2 Method of Disease Diagnosis using nanotechnology 1. Diagnosis and Imaging: Nanobiotech scientists have successfully produced microchips that are coated with human molecules. The chip is designed to emit an electrical impulse signal when the molecules detect signs of a disease. Special sensor nanobots can be inserted into the blood under the skin where they check blood contents and warn of any possible diseases. They can also be used to monitor the sugar level in the blood. Advantages of using such nanobots are that they are very cheap to produce and easily portable. (Harry, 2005) 2. Quantum dots: Quantum dots are nanomaterials that glow very brightly when illuminated by ultraviolet light. They can be coated with a material that makes the dots attach specifically to the molecule they want to track. Quantum dots bind themselves to proteins unique to cancer cells, literally br inging tumors to light. (Weiss, 2005). 2. 3 Application of Nanotech in Drug Delivery SystemNanobots are robots that carry out a very specific function and are just several nanometers wide. They can be used very effectively for drug delivery. Normally, drugs work through the entire body before they reach the disease-affected area. Using nanotechnology, the drug can be targeted to a precise location which would make the drug much more effective and reduce the chances of possible side-effects (Perkel, 2004). The drug carriers have walls that are just 5-10 atoms thick and the inner drug-filled cell is usually 50-100 nanometers wide. When they detect signs of the disease, thin ires in their walls emit an electrical pulse which causes the walls to dissolve and the drug to be released. Aston Vicki, manager of BioSante Pharmaceuticals, says ââ¬Å"Putting drugs into nanostructures increases the solubility quite substantiallyâ⬠. (Harry, 2005) 2. 4 Nanotechnology approaches for cancerous cell destruction Preventive treatments are not much good to those who have already developed the disease. And since these are the people who require the most immediate medical help, it is no wonder that a majority of innovative treatments are focused here.Again, there are several ways to view the problem. The traditional approach is to simply eliminate the causing agents, or the cells that make up the tumour and end their pararcine signalling effect. This method actually dates back to the mid-17th century, when John Hunter, a Scottish surgeon first suggested the surgical removal of the tumour (Denmeade and Isaacs, 2002). Of course, we have made great progress in the last 350 years, but the idea remains the same. If we see the cancerous cells of the tumour as the causing agents of the disease, then the obvious strategy is to remove or to destroy them. The most significant recent breakthroughs have been made in this area. A relatively long-standing strategy dating back to the 1950s is to flood the body with substances that are especially toxic to tumour cells. Unfortunately, tumour cells are not dissimilar enough from healthy cells to distinguish one from the other using such large-scale techniques. A drug that is especially toxic to tumour cells is usually also toxic to healthy cells, and simply flooding the entire body with it causes system-wide damage and serious side effects.Almost everyone has heard of or seen chemotherapy patients who have lost their hair, lost significant weight, or developed other serious disorders (Silva, 2004). 2. 5 Physics and Engineering Concepts in Cancer Treatment Aside from destroying cells directly, we can take a more elegant approach to tumour elimination. Massand energy balance are well understood and are widely used in all types of science and engineering. Furthermore, these concepts are quite general, and can be applied to other fields as well, such as medicine. The general principles of mass balance, energy conservation and e ntropy production are applicable to bio systems as well as industrial processes. Thus, we can define the malignant tumour as our bio system and proceed to investigate the mass, energy and entropy inputs, outputs and accumulations. (Mansoori et al. , 2007). Since our ultimate goal is to destroy the tumour, we realise that this can be achieved by limiting or eliminating the inputs of the needed nutrients and the useful energy that are vital to its growth and survival.Likewise, we can limit the outputs, which are necessary for the tumour cells to get rid of toxic waste products that are left over from the multitude of biochemical reactions continuously taking place. Furthermore, basic anatomy and biology tell us that cells within the human body get a vast majority of their nutrients and energy from the bloodstream, and likewise use the bloodstream to eliminate the toxins. Cells that are cut off from circulation quickly undergo necrosis and are effectively eliminated. Therefore, our goa l is to separate the tumour from the circulation in order to kill it.Numerous studies have explored the possibility of isolating cancer tumours from the bloodstream. (Reynolds et al. , 2003). 2. 6 Tissue Reconstruction Nanoparticles can be designed with a structure very similar to the bone structure. An ultrasound is performed on existing bone structures and then bone-like nanoparticles are created using the results of the ultrasound, the bone-like nanoparticles are inserted into the body in a paste form. When they arrive at the fractured bone, they assemble themselves to form an ordered structure which later becomes part of the bone (Adhikari, 2005). 3. 0 MethodologyThis research work shall use the following methods or approaches to achieve its aim and objectives: â⬠¢Top ââ¬â down technique: The top ââ¬â down technique begins with taking a macroscopic material (the finished product) and then incorporating smaller scale details into them. The molecules are rearranged to get the desired property. This approach is still under immense research as many of the devices used to operate at nanolevel are still being developed. â⬠¢Bottom ââ¬â up approach: The bottom ââ¬â up approach begins by designing and synthesizing custom made molecules that have the ability to self- replicate. These molecules are then organized into higher macro-scale structures. The molecules self replicate upon the change in specific physical or chemical property that triggers the self replication. This can be a change in temperature, pressure, application of electricity or a chemical. The self replication of molecule has to be carefully controlled so it does not go out of hand. 4. 0 Expected Contribution of the Work to Knowledge Though, nanotechnology is still in its early stage, but it is of worthy note to know that it has began to gain application as it is already helping patients all over the world today. As further research continues in this field, more treatments will be discovered. Many diseases that do not have cures today may be cured by nanotechnology in the future. As part of contribution to knowledge, the result that shall be established in this research work may be useful in the development of indigenous methods and model on the diagnosis, prevention and treatment of cancer. 5. 0 Conclusion Prevention, diagnosis and treatment of cancer have always been a formidable medical challenge. In fact, cancer has long been considered an incurable disease and it is grouped with Hepatitis C and AIDS.Throughout the bulk of human history, cancer tended to be fatal in those who were unfortunate to develop it. Cancer will continue to be a big problem since it is a disease related mostly to age. As our population average age increases due to medical advances, cancer will be a major disease of the aging. At the end of this research work, we may have been able to develop and design a model that will effectively be used to diagnose the disease of cacer, proff er measures and techniques on how it can be prevented and treated. Also, the principle surrounding the mechanism of how a better drug delivery system with minimal side effects concerning the cure of cancer must have been fully explored. All these will be tried and tested using our own indigenous nanotechnology in the area of genetic engineering which promises a brighter future in the field of medicine leading to the actualization of the objective of this research work. The Risk Factor of Diageo
RISK FACTORS Investing in the securities offered using this prospectus involves risk. You should consider carefully the risks described below, together with the risks described in the documents incorporated by reference into this prospectus and any risk factors included in the prospectus supplement, before you decide to buy our securities. If any of these risks actually occur, our business, financial condition and results of operations could suffer, and the trading price and liquidity of the securities offered using this prospectus could decline, in which case you may lose all or part of your investment. Risks Relating to Diageo's Business You should read ââ¬Å"Risk Factorsâ⬠in Diageo's Annual Report on Form 20-F for the fiscal year ended June 30, 2008, which is incorporated by reference in this prospectus, or similar sections in subsequent filings incorporated by reference in this prospectus, for information on risks relating to Diageo's business. Risks Relating to Diageo's Shares Diageo's shares and American depositary shares may experience volatility which will negatively affect your investment. In recent years most major stock markets have experienced significant price and trading volume fluctuations. These fluctuations have often been unrelated or disproportionate to the operating performance of the underlying companies. Accordingly, there could be significant fluctuations in the price of Diageo's shares and American depositary shares, or ADSs, each representing four ordinary shares, even if Diageo's operating results meet the expectations of the investment community. In addition, â⬠¢ announcements by Diageo or its competitors relating to operating results, earnings, volume, acquisitions or joint ventures, capital commitments or spending, â⬠¢ changes in financial estimates or investment recommendations by securities analysts, changes in market valuations of other food or beverage companies, â⬠¢ adverse economic performance or recession in the United States or Europe, or â⬠¢ disruptions in trading on major stock markets, could cause the market price of Diageo's shares and ADSs to fluctuate significantly. Risks Relating to the Debt Securities, Warrants, Purchase Con tracts and Units Because Diageo is a holding company and currently conducts its operations through subsidiaries, your right to receive payments on debt securities issued by Diageo or on the guarantees is subordinated to the other liabilities of its subsidiaries. Diageo is organized as a holding company, and substantially all of its operations are carried on through subsidiaries. Diageo plc had guaranteed a total of ? 6,970 million of debt as of June 30, 2008. Diageo's ability to meet its financial obligations is dependent upon the availability of cash flows from its domestic and foreign subsidiaries and affiliated companies through dividends, intercompany advances, management fees and other payments. Diageo's subsidiaries are not guarantors of the debt securities we may offer. Moreover, these subsidiaries and affiliated ompanies are not required and may not be able to pay dividends to Diageo. Claims of the creditors of Diageo's subsidiaries have priority as to the assets of such subsidiaries over the claims of Diageo. Consequently, in the event of insolvency of Diageo, the claims of holders of notes guaranteed or issued by Diageo would be structurally subordinated to the prior claims of the creditors of subsidiaries of Diageo. 2 Table of Con tents In addition, some of Diageo's subsidiaries are subject to laws restricting the amount of dividends they may pay. For example, subsidiaries of Diageo incorporated under the laws of England and Wales may be restricted by law in their ability to declare dividends due to failure to meet requirements tied to net asset levels or distributable profits. Because the debt securities are unsecured, your right to receive payments may be adversely affected. The debt securities that we are offering will be unsecured. The debt securities are not subordinated to any of our other debt obligations and therefore they will rank equally with all our other unsecured and unsubordinated indebtedness. As of June 30, 2008, Diageo group had ? 5 million aggregate principal amount of secured indebtedness outstanding. If Diageo Investment, Diageo Capital, Diageo Finance or Diageo default on the debt securities or Diageo defaults on the guarantees, or in the event of bankruptcy, liquidation or reorganization, then, to the extent that Diageo Investment, Diageo Capital, Diageo Finance or Diageo have granted security over their assets, the assets that secure these debts will be used to satisfy the obligations under that secured debt before Diageo Investment, Diageo Capital, Diageo Finance or Diageo could make payment on the debt securities or the guarantees, respectively. If there is not enough collateral to satisfy the obligations of the secured debt, then the remaining amounts on the secured debt would share equally with all unsubordinated unsecured indebtedness. Your rights as a holder of debt securities may be inferior to the rights of holders of debt securities issued under a different series pursuant to the indenture. The debt securities are governed by documents called indentures, which are described later under ââ¬Å"Description of Debt Securities and Guaranteesâ⬠. We may issue as many distinct series of debt securities under the indentures as we wish. We may also issue a series of debt securities under the indentures that provides holders with rights superior to the rights already granted or that may be granted in the future to holders of another series. You should read carefully the specific terms of any particular series of debt securities which will be contained in the prospectus supplement relating to such debt securities. Should Diageo, Diageo Capital or Diageo Finance default on its debt securities, or should Diageo default on the guarantees, your right to receive payments on such debt securities or guarantees may be adversely affected by applicable insolvency laws. Diageo plc is incorporated under the laws of England and Wales, Diageo Capital is incorporated under the laws of Scotland and Diageo Finance is incorporated under the laws of The Netherlands. Accordingly, insolvency proceedings with respect to Diageo or Diageo Capital are likely to proceed under, and be governed by, UK insolvency law and insolvency proceedings with respect to Diageo Finance are likely to proceed under, and be governed by, Dutch insolvency law. The procedural and substantive provisions of such insolvency laws are generally more favorable to secured creditors than comparable provisions of United States law. These provisions afford debtors and unsecured creditors only limited protection from the claims of secured creditors and it will generally not be possible for Diageo, Diageo Capital or Diageo Finance or other unsecured creditors to prevent or delay the secured creditors from enforcing their security to repay the debts due to them under the terms that such security was granted. The debt securities, warrants, purchase contracts and units lack a developed trading market, and such a market may never develop. Each of Diageo, Diageo Investment, Diageo Capital and Diageo Finance may issue debt securities in different series with different terms in amounts that are to be determined. Debt securities issued by Diageo, Diageo Capital or Diageo Finance may be listed on the New York Stock Exchange or another 3 Table of Contents recognized stock exchange and we expect that debt securities issued by Diageo Investment will not be listed on any stock exchange. However, there can be no assurance that an active trading market will develop for any series of debt securities of Diageo, Diageo Capital or Diageo Finance even if we list the series on a securities exchange. Similarly, there can be no assurance that an active trading market will develop for any warrants issued by Diageo. There can also be no assurance regarding the ability of holders of our debt securities, warrants, purchase contracts and units to sell their debt securities, warrants, purchase contracts or units or the price at which such holders may be able to sell their debt securities, warrants, purchase contracts or units. If a trading market were to develop, the debt securities, warrants, purchase contracts and units could trade at prices that may be higher or lower than the initial offering price and, in the case of debt securities, this may result in a return that is greater or less than the interest rate on the debt security, in each case depending on many factors, including, among other things, prevailing interest rates, Diageo's financial results, any decline in Diageo's credit-worthiness and the market for similar securities. Any underwriters, broker-dealers or agents that participate in the distribution of the debt securities, warrants, purchase contracts or units may make a market in the debt securities, warrants, purchase contracts or units as permitted by applicable laws and regulations but will have no obligation to do so, and any such market-making activities may be discontinued at any time. Therefore, there can be no assurance as to the liquidity of any trading market for the debt securities, warrants, purchase contracts and units or that an active public market for the debt securities, warrants, purchase contracts or units will develop. General Information regarding Foreign Currency Risks This prospectus does not describe all the risks of an investment in debt securities denominated in a currency other than U. S. dollars. You should consult your financial and legal advisors as to any specific risks entailed by an investment in debt securities that are denominated or payable in, or the payment of which is linked to the value of, foreign currency. These debt securities are not appropriate investments for investors who are not sophisticated in foreign currency transactions. The information set forth in this prospectus is directed to prospective purchasers who are United States residents. We disclaim any responsibility to advise prospective purchasers who are residents of countries other than the United States of any matters arising under foreign law that may affect the purchase of or holding of, or receipt of payments on, the debt securities. These persons should consult their own legal and financial advisors concerning these matters. Exchange Rates and Exchange Controls May Affect the Debt Securities' Value or Return Debt securities Involving Foreign Currencies Are Subject to General Exchange Rate and Exchange Control Risks . An investment in a debt security that is denominated or payable in, or the payment of which is linked to the value of, currencies other than U. S. dollars entails significant risks. These risks include the possibility of significant changes in rates of exchange between the U. S. dollar and the relevant foreign currencies and the possibility of the imposition or modification of exchange controls by either the U. S. or foreign governments. These risks generally depend on economic and political events over which we have no control. Exchange Rates Will Affect Your Investment. In recent years, rates of exchange between U. S. dollars and some foreign currencies have been highly volatile and this volatility may continue in the future. Fluctuations in any particular exchange rate that have occurred in the past are not necessarily indicative, however, of fluctuations that may occur during the term of any debt security. Depreciation against the U. S. dollar of the currency in which a debt security is payable would result in a decrease in the effective yield of the debt security below its coupon rate and could result in an overall loss to you on a U. S. dollar basis. In addition, depending on the specific terms of a currency-linked debt security, 4 Table of Contents changes in exchange rates relating to any of the relevant currencies could result in a decrease in its effective yield and in your loss of all or a substantial portion of the value of that debt security. We Have No Control Over Exchange Rates. Foreign exchange rates can either float or be fixed by sovereign governments. Exchange rates of most economically developed nations are permitted to fluctuate in value relative to the U. S. dollar and to each other. However, from time to time governments may use a variety of techniques, such as intervention by a country's central bank or the imposition of regulatory controls or taxes, to influence the exchange rates of their currencies. Governments may also issue a new currency to replace an existing currency or alter the exchange rate or relative exchange characteristics by a devaluation or revaluation of a currency. These governmental actions could change or interfere with currency valuations and currency fluctuations that would otherwise occur in response o economic forces, as well as in response to the movement of currencies across borders. As a consequence, these government actions could adversely affect the U. S. dollar-equivalent yields or payouts for (a) debt securities denominated or payable in currencies other than U. S. dollars and (b) currency-linked debt securities. We will not make any adjustment or change in the terms of the debt securities in the event that exchange rates should become fixed, or in the event of any devaluation or revaluation or imposition of exchange or other regulatory controls or taxes, or in the event of other developments affecting the U. S. dollar or any applicable foreign currency. You will bear those risks. Some Foreign Currencies May Become Unavailable. Governments have imposed from time to time, and may in the future impose, exchange controls that could also affect the availability of a specified foreign currency. Even if there are no actual exchange controls, it is possible that the applicable currency for any debt security not denominated in U. S. dollars would not be available when payments on that debt security are due. Alternative Payment Method Used if Payment Currency Becomes Unavailable. If a payment currency is unavailable, we would make required payments in U. S. dollars on the basis of the market exchange rate. However, if the applicable currency for any debt security is not available because the euro has been substituted for that currency, we would make the payments in euro. The mechanisms for making payments in these alternative currencies are explained in ââ¬Å"Description of Debt Securities and Guaranteesââ¬âAdditional Mechanicsââ¬âUnavailability of Foreign Currencyâ⬠below. We Will Provide Currency Exchange Information in Prospectus Supplements. The applicable prospectus supplement will include information regarding current applicable exchange controls, if any, and historic exchange rate information for any debt security denominated or payable in a foreign currency or requiring payments that are related to the value of a foreign currency. That information will be furnished only for information purposes. You should not assume that any historic information concerning currency exchange rates will be representative of the range of or trends in fluctuations in currency exchange rates that may occur in the future. Currency Conversions May Affect Payments on Some Debt securities The applicable prospectus supplement may provide for (1) payments on a non-U. S. dollar denominated debt security to be made in U. S. dollars or (2) payments on a U. S. dollar denominated debt security to be made in a currency other than U. S. dollars. In these cases, The Bank of New York Mellon, in its capacity as exchange rate agent, or a different exchange rate agent identified in the prospectus supplement, will convert the currencies. You will bear the costs of conversion through deductions from those payments. 5
